A two-part workshop taking an in-depth look at the critical legal and financial issues of venture development

While technology, investors and customers might be your greatest concern, the success of high-tech ventures also requires a solid legal and financial foundation. Too often these critical elements are given casual attention by hard-charging entrepreneurs-often to their subsequent regret.

Providing entrepreneurs with critical knowledge, the Caltech/MIT Enterprise Forum is pleased to offer this two-session workshop on the legal and financial issues that bear on venture success. Come hear a balanced and critical review of traditional and cutting-edge practices by experienced attorneys, accountants, and entrepreneurs.

Session I: Corporate Formation and Strategic Tax Planning
Saturday, May 11, 2002

Session II: Intellectual Property and Building the Management Team
Saturday, June 8, 2002

Session I: Corporate Formation & Strategic Tax Planning
Transforming advanced technology and innovative ideas into successful business ventures depends on much more than technical know-how. It requires intelligent financial and management decisions at every stage of your company's formation and growth. The greatest technology in the world won't thrive in today's marketplace without the right corporate structure to seize growth opportunities, maximize profits, ensure fiscal stability and protect your personal assets.

In this special workshop, the Caltech/MIT Enterprise Forum will help the entrepreneur address these critical questions:

  • How do I choose the best entity structure to meet short- and long-term goals?
  • When, where, and how should I incorporate?
  • What are the tax and legal implications of various corporate entities, including S Corps, C Corps, LLCs, and LLPs?
  • What are the pitfalls for management or investors within each corporate structure?
  • What are the possible consequences as my company grows? And what are the liabilities if my company does not thrive?

Our legal and accounting experts will address these questions first through illustrative presentations. We then ask a panel of veteran entrepreneurs to explain how they approached or overlooked these issues-and what the consequences were.

All attendees will receive presentation materials and will have ample opportunity to meet and talk with the speakers during a networking break and lunchtime refreshments following the program.
